Agreement to Our Legal Terms

We are Scrub Genesis (“Company,” “we,” “us,” or “our”), a company registered in Pakistan at Ugoki, Sialkot, Punjab, Pakistan 51050. We manufacture medical scrubs and medical apparel for United States medical brands, hospitals, medical schools, private practices, home health care agencies, and medical startups.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Scrub Genesis, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services. We recommend that you print a copy of these Legal Terms for your records.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

You are solely responsible for your Submissions and agree to reimburse us for any losses we may suffer due to your breach of this section, third-party IP rights, or applicable law.

By using the Services, you represent and warrant that:

You have the legal capacity and agree to comply with these Legal Terms.

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Services. However, we do not guarantee that these will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect actual colors and details. All products are subject to availability, and we reserve the right to discontinue any product at any time. Prices for all products are subject to change.

5. Purchases and Payment

We accept the following forms of payment: Visa, Mastercard, American Express, and PayPal.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services, and to promptly update this information as needed. Sales tax will be added where required. All payments shall be in US dollars. We reserve the right to correct pricing errors even after payment has been requested or received, and to refuse, limit, or cancel any order at our sole discretion — including orders that appear to be placed by dealers, resellers, or distributors.

6. Return Policy

All sales are final and no refund will be issued.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to, among other things:

Systematically retrieve data to create or compile a collection or database without written permission.
Trick, defraud, or mislead us or other users, including attempts to obtain sensitive account information.
Circumvent, disable, or interfere with security-related features of the Services.
Use any information obtained from the Services to harass, abuse, or harm another person.
Engage in unauthorized framing of or linking to the Services.
Upload or transmit viruses, malware, or malicious code, or engage in excessive spamming.
Use any automated system, script, bot, spider, or scraper to access the Services.
Use a buying or purchasing agent to make purchases on the Services.
Use the Services as part of any effort to compete with us.

8. User Generated Contributions

The Services do not generally offer users the ability to submit or post content. Where we do provide such opportunity, any content and materials you submit (“Contributions”) may be viewable by other users. By submitting Contributions, you represent and warrant that they do not infringe any third party’s rights, are not false, misleading, unlawful, obscene, harassing, or otherwise objectionable, and that you have all necessary rights and consents to submit them.

9. Contribution License

You agree that we may access, store, process, and use any information and personal data that you provide. By submitting suggestions or feedback, you agree that we may use and share such feedback for any purpose without compensation. We do not assert ownership over your Contributions — you retain full ownership — but you are solely responsible for them and agree to exonerate us from related liability.

10. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, restrict or disable access to any Contributions, remove content that is excessive or burdensome to our systems, and otherwise manage the Services to protect our rights and property.

11. Privacy Policy

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States and Malaysia. If you access the Services from a region with data laws that differ from those of the United States and Malaysia, your continued use constitutes consent to have your data transferred to and processed in those countries.

These Legal Terms remain in full force while you use the Services. These Legal Terms are governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions, to the extent permitted by applicable international trade regulations.

Any dispute arising from or relating to these Legal Terms or the Services shall first be addressed through good-faith informal negotiation between the parties before either party pursues formal legal action.

16. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.

17. Disclaimer

The Services are provided on an “as-is” and “as-available” basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof.

18. Limitations of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages.

19. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Services or your breach of these Legal Terms.

20. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing performance, as well as data relating to your use of the Services. You are solely responsible for all data you transmit or relate to any activity you have undertaken using the Services.

21. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

22. SMS Text Messaging

Where applicable, by opting into SMS communications from Scrub Genesis, you agree to receive text messages related to order updates and customer service. Message and data rates may apply. You may opt out at any time by replying “STOP.”

23. California Users and Residents

If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing or by telephone.

24. Miscellaneous

These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right or provision. If any provision is determined to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity of the remaining provisions.

25. RFQ and Quotations

All requests for quotation (RFQ) submitted through our Services are non-binding until formally confirmed in writing by Scrub Genesis. Quotations are valid for the period specified in the quotation document and are subject to change based on raw material costs, order volume, and specification changes.

26. OEM and Private Label Manufacturing

For OEM and private label orders, the buyer is responsible for ensuring that submitted designs, logos, and branding materials do not infringe on any third party’s intellectual property rights. Scrub Genesis retains no rights to buyer-supplied branding and will not reuse private label designs for other clients without written consent.

27. Product Specifications and Manufacturing Tolerances

Due to the nature of textile manufacturing, minor variations in color, fabric weight, and measurements within standard industry tolerances are considered normal and do not constitute a defect. Exact specifications and tolerances will be confirmed in writing prior to bulk production.

28. Inspection and Claims

Buyers are responsible for inspecting goods upon delivery. Any claims regarding quality, quantity, or specification discrepancies must be submitted in writing within 7 business days of receipt, accompanied by photographic evidence where applicable.

29. Export, Customs and Import Compliance

Scrub Genesis complies with applicable export regulations for goods manufactured in Pakistan and shipped to the United States. The buyer is responsible for complying with all import regulations, customs duties, and documentation requirements applicable in their destination country.

30. Pricing and Order Acceptance

All prices are quoted in US dollars unless otherwise agreed in writing. An order is not considered accepted until confirmed in writing by Scrub Genesis, and we reserve the right to decline any order prior to such confirmation.

31. Force Majeure

Scrub Genesis shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, supply chain disruptions, government action, or shipping and customs delays.
